Website Hosting Agreement and Terms and Conditions

This agreement is between:

Lemonade Design Co (“the Host”, “we”, “us”, “our”) and The Client (“you”, “your”)

By purchasing website hosting from Lemonade Design Co, you agree to the following Terms and Conditions.

1. Hosting Service

Lemonade Design Co agrees to provide website hosting services for your website for the duration of the hosting term.

Website hosting includes:

• Provision of server space for your website
• Connection of your website to our hosting platform
• Server management required to keep your website live

Website hosting does not include:

• Website maintenance
• Plugin updates
• WordPress updates
• Security monitoring
• Backup services
• Website fixes or repairs

These services are only included if you have an active Website Maintenance Plan or BlogVault Backup and Security subscription.

2. Backups and Security

Lemonade Design Co does not provide backups as part of standard hosting.

Backups, restore points, and security protection are only provided if you subscribe to BlogVault Backup and Security as an additional paid service.

If you do not subscribe to BlogVault Backup and Security:

• No backups of your website are guaranteed
• Restoration of your website may not be possible
• Lemonade Design Co accepts no responsibility for loss of website data

The Client accepts full responsibility for their website data if BlogVault Backup and Security is not in place.

2.1 BlogVault Backup and Security (Optional but Strongly Recommended)

Lemonade Design Co offers BlogVault Backup and Security as an optional additional service.

BlogVault provides:

• Daily offsite backups
• One-click restore functionality
• Protection against data loss
• Monitoring and security protection
• Greater protection in the event of website errors, hacking, or software failure

This service is not included in standard hosting.

The cost of BlogVault Backup and Security is £120 per year, billed annually (subject to a price review annually in December, for a price change on the 1st of January).

Lemonade Design Co strongly recommends this service, as without it, recovery of your website may not be possible in the event of data loss, corruption, or critical failure.

The Client acknowledges that choosing not to subscribe to BlogVault Backup and Security is done at their own risk.

3. Hosting Term

Website hosting is provided on a 12-month annual term.

Your hosting term begins on the date your website is connected to our hosting platform.

Once hosting has commenced:

• Hosting is provided for the full 12-month term
• Hosting fees are non-refundable
• Hosting cannot be cancelled mid-term
• Hosting cannot be transferred to another provider for refund or credit

This applies regardless of whether:

• You move to another hosting provider
• Your business ceases trading
• Your website is no longer used

The full hosting fee remains payable.

4. Renewal and Notice of Cancellation

Hosting renews annually.

If you do not wish to continue hosting, you must provide:

A minimum of one full calendar month’s written notice prior to your renewal date

Notice must be provided by email.

If notice is not received within this period:

• Your hosting will automatically renew for a further 12-month term
• The renewal invoice will remain payable in full

5. Payments

Hosting fees must be paid annually in advance.

Payment must be received on or before the invoice due date.

If payment is not received:

• Your website may be suspended
• Your website may be taken offline
• Access to your website may be restricted

Lemonade Design Co accepts no responsibility for any loss of business due to suspension for non-payment.

6. Website Maintenance and Critical Errors

Website hosting and website maintenance are separate services.

Unless you have an active Website Maintenance Plan, maintenance is not included.

Websites rely on third-party software including WordPress, themes, and plugins.

Over time these may:

• Become outdated
• Become unsupported
• Develop faults
• Cause website errors
• Cause your website to stop working

If your website develops a fault due to:

• Plugin failure
• Plugin incompatibility
• Unsupported plugins or themes
• Outdated software

Lemonade Design Co reserves the right to charge for investigation and repair.

Repairs will be charged at our standard hourly rate or quoted as a fixed fee.

Priority support is given to clients with active maintenance plans.

7. Leaving Hosting and Migration Responsibility

If you decide to leave Lemonade Design Co hosting, it is entirely your responsibility to arrange migration of your:

• Website
• Domain (if applicable)
• Emails
• Email accounts
• Email history

to your new hosting provider.

Migration services are not included unless agreed separately as a paid service.

8. Removal of Hosting

If you request Lemonade Design Co to remove your hosting:

Our responsibility is limited solely to removing your website from our hosting platform.

Once hosting is removed:

• Your website will stop working
• Your email services may stop working

Lemonade Design Co is not responsible for ensuring continuity of your services.

9. Data Retention and Deletion

Following termination or removal of hosting, your website data may remain on our hosting platform for up to 30 days.

After 30 days:

• Your website may be permanently deleted
• Your emails may be permanently deleted
• Your data may not be recoverable

Lemonade Design Co accepts no responsibility for data loss after this period.

It is your responsibility to ensure all data is transferred before termination.

10. Limitation of Liability

Lemonade Design Co shall not be liable for:

• Loss of income
• Loss of business
• Loss of data
• Website downtime
• Software failures
• Plugin failures
• Third-party failures

or any losses resulting from hosting services.

11. Acceptable Use

You agree not to use hosting for:

• Illegal purposes
• Malware
• Spam
• Harmful or malicious activity

We reserve the right to suspend hosting if these terms are breached.

12. Ownership

You retain ownership of your website content.

Hosting infrastructure remains the property of Lemonade Design Co.

13. Agreement

By purchasing hosting, you confirm that:

You understand hosting is provided for a full 12-month term

Hosting is non-refundable

One full month’s notice is required prior to renewal

You understand backups are not provided unless BlogVault Backup and Security is active

You accept responsibility for migration if you leave

14. Payment by Instalments

Lemonade Design Co may, at its discretion, agree to accept payment for annual hosting via monthly instalments.

By entering into an instalment arrangement, the Client acknowledges and agrees that:

14.1 Annual Commitment

Website hosting remains a 12-month annual contract, regardless of whether payment is made in full or by instalments.

The Client remains legally responsible for payment of the full annual hosting fee.

Instalments are a payment arrangement only and do not constitute a monthly hosting contract.

Hosting cannot be cancelled part-way through the term to avoid remaining payments.

14.2 Cancellation During Instalment Period

If the Client:

• Cancels hosting
• Moves to another hosting provider
• Requests removal of hosting
• Ceases trading

The remaining balance for the full 12-month term will become immediately due and payable.

No refunds will be given.

14.3 Missed Payments

If an instalment payment is missed or overdue, Lemonade Design Co reserves the right to:

• Suspend hosting
• Take the website offline
• Suspend associated services

until payment has been received.

Lemonade Design Co accepts no responsibility for any loss of business resulting from suspension due to non-payment.

14.4 Reconnection

Lemonade Design Co reserves the right to charge a reconnection fee to restore hosting following suspension for non-payment.

15. Governing Law

This agreement is governed by the laws of England and Wales.
